Real Estate Transactions: Kapiteeli deal description

Kapiteeli sold its shares in certain real estate companies, real estate properties and land sites to investment vehicles indirectly owned and controlled by two real estate investment funds, the Whitehall Street Real Estate Funds and Niam Nordic Investment Fund III. The ultimate purchasers in the transaction were two B&K SPV´s. The deal covered 43 investment properties as well as almost all the Sales Properties portfolio that Sponda gained through the Kapiteeli acquisition at the end of 2006.

B&K assisted the Whitehall Street Real Estate Funds and Niam Nordic Investment Fund III in preparing the LDD report, preparing Share and Asset Sale and Purchase Agreement, planning the deal structure, negotiating the financing and notifying the transaction to the Finnish Competition Authority.

The deal value is approximately EUR 402 million.
