Borenius advised both the Finnish Paralympic Committee and the Finnish Sports Association of Persons with Disabilities (VAU) on their merger

We advised both the Finnish Paralympic Committee and the Finnish Sports Association of Persons with Disabilities (VAU) on their merger into one association that will operate under the name of the Finnish Paralympic Committee. After joining forces of the two major associations in the field of disabled sports, the athletes will receive even more extensive support for their development from the beginning to the top international level.

The idea of the merger was first introduced in 2017, but the merger process itself started early in 2019. The associations made their preliminary decisions on the merger in May 2019 and completed the decisions in November 2019.

As the Finnish Associations Act does not include provisions regarding merger (unlike other entity acts, e.g. the Finnish Limited Liability Companies Act and Co-Operatives Act), we advised the associations on the basis of civil law. We provided advice on contractual matters, such as drafting a merger agreement, and other related legal issues, such as relevant decisions concerning the associations. The draft for the merger agreement was accepted by both parties, and the new Finnish Paralympic Committee started its operations on 1 January 2020.
