Strengthening Nordic–U.S. Connectivity Through Market, Policy, and Investor Engagement

Over the past year, Borenius has continued to deepen its presence in the United States and strengthen Nordic–U.S. connectivity by convening high-impact gatherings across New York and Helsinki. In addition to hosting Nordic founders, CEOs, and investors in Manhattan for our Nordic Defence Night and Nordic Health Night, we are now supporting the growing AI ecosystem with a new event. On December 2, Borenius and Fenwick, together with Google, will host Nordic AI Night in New York. The event will bring together top‑tier investors and the fastest‑growing Nordic AI companies from deep tech to hospitality solutions to next‑generation communications. We also had the opportunity to share our perspective directly with U.S. investors at the Nordic Investor Day hosted by NanoCap and OTC Markets Group. Kenneth Kraszewski joined the keynote panel, “Investing in the Nordics – Opportunities for U.S. Investors,” to discuss strategic pathways for Nordic companies seeking U.S. capital access. The panel highlighted key themes such as aligning disclosures and communications with U.S. investor expectations, enhancing transparency, calibrating legal risks, and understanding competitive and regulatory dynamics that accompany cross-border expansion. The event underscored the increasing relevance of Nordic issuers in U.S. markets, particularly in sectors defined by technology, sustainability, and innovation.

Together, these initiatives reflect Borenius’ broader mission to support Nordic companies as they internationalize, secure capital, manage regulatory complexity, and position themselves for long-term success in the United States.

Borenius Advises on Strategic U.S. Capital Markets and Expansion Transactions

Nightingale Health – Successful Transfer to Nasdaq Helsinki Main Market and OTCQX Quotation

Borenius successfully advised Nightingale Health on its transfer from First North to the main market of Nasdaq Helsinki, as well as on the quotation of its ADRs and B shares on the OTCQX International market operated by OTC Markets Group in New York.

The dual objectives of improving B-share liquidity and expanding Nightingale’s international shareholder base have now been achieved. This milestone marks an important step in supporting the company’s global growth ambitions.

We previously advised Nightingale on its First North listing in 2021, and we are delighted to have continued our advisory role as the company advances its international capital markets strategy.

Scanfil plc – Advising on U.S. Expansion and Acquisition of ADCO Circuits

Borenius is currently advising Scanfil plc on its U.S. expansion through the ongoing acquisition of ADCO Circuits, an electronics manufacturing services provider based in Michigan. This strategic transaction strengthens Scanfil’s footprint in the United States and enhances its presence in the Aerospace & Defense sector.

Scanfil is Europe’s largest listed electronics manufacturing services (EMS) provider, with a 2024 turnover of EUR 780 million. Its comprehensive service offering spans design services, prototyping, DFM, test development, supply chain and logistics, PCB assembly, subsystem manufacturing, and complex systems integration. The company serves global leaders across the Industrial, Energy & Cleantech, and Medtech & Life Science sectors.

Eino Järnroos to Join the Partnership
