Borenius advised Optiva Inc. on its combination with Qvantel

We advised Optiva Inc., a Canadian company listed on the Toronto Stock Exchange, as Finnish counsel on its combination with Qvantel, a global digital BSS provider from Finland.

Under the terms of the arrangement agreement, Qvantel will acquire all outstanding Optiva shares and US $108.6 million of senior secured PIK toggle notes, which will be exchanged for a combination of cash, Qvantel shares, new Qvantel’s senior secured notes, and warrants. The transaction creates a leading full-stack BSS provider with over 1,000 professionals in more than 30 countries and a combined customer base of over 70 communication service providers worldwide.
