Borenius advised on the consolidation of the state’s capital investment activities under Tesi
We advised Suomen Teollisuussijoitus Oy (Tesi) on the consolidation of the state’s capital investment activities under Tesi.
The corporate restructuring was completed on 31 May 2025, involving the transfer of remaining assets and liabilities from three state-owned companies, Oppiva Invest, Ilmastorahasto and Business Finland Venture Capital, to the Tesi Group. As part of this significant restructuring, Business Finland Venture Capital’s activities involving state aid will continue as a subsidiary of Tesi under the new name Teollisuustuki.
The restructuring was implemented in accordance with the Government Programme. The purpose of this restructuring was to enhance efficiency in state capital investment activities and improve access to funding for Finnish companies.
Tesi is Finland’s state-owned investment company that invests on market terms in venture capital and private equity funds and directly in Finnish startups and growth companies. As of 31 December 2024, Tesi managed EUR 2.6 billion in assets, held ownership in 546 Finnish companies, and following the restructuring, 49 new investments were transferred to Tesi’s portfolio.
